THE CONSTITUTION OF MID ATLANTIC ATHLETIC CLUB

  1. Name
    1. The name of the Club shall be Mid Atlantic Athletic Club hereafter referred to as the Club.

  2. Membership
    1. Membership of the Club shall be open to all.
    2. All members are required to pay a membership fee for the year.  The Executive Committee will set the membership and will review it annually.
    3. The Executive Committee retains the right to refuse or remove membership at their discretion.

  3. Aims and Objectives
    The aims and objectives of the Club shall be:
    1.  To organise, arrange and promote running events of any type as agreed by the Executive Committee.
    2. To arrange social functions for members as decided by the Executive Committee on each occasion.
    3. To encourage and facilitate the sport of running for all of its members whether it is Road, Track or Cross Country.

  4. Committee
    1. The Club shall have an Executive Committee consisting of at least the following officers:
      President
      Vice President
      Secretary
      Treasurer

      The Executive Committee may appoint any other such officer as the committee may determine.

    2. The officers shall have such powers and perform such duties in the management, business and affairs of the Club as may be delegated to them by the committee from time to time.
    3. The Executive Committee shall not work autonomously.  Planning activities, buying equipment and administering other Club matters must satisfy all members.
    4. The Executive Committee may invite persons to attend any of its meetings as a participant without the power to vote.
    5. Any vacancy within the Executive Committee shall be filled from the ordinary membership and agreed by committee.
    6. No member of the Executive Committee, subcommittee or any of the ordinary membership shall receive remuneration from the committee in money or monies worth, with the exception of out of pocket expenses.
    7. The Executive Committee shall meet quarterly.
    8. The President shall have the power to call special meetings whenever in their judgement such a meeting is necessary. The President shall call a special meeting at the request of not less than two committee members or not less than six ordinary members.

  5. Sub-committee
    1. The committee may appoint sub-committees for special purposes
    2. When setting up sub committees the Committee shall determine its terms of reference, compositions and powers.
    3. Sub-committees shall have a co-ordinator and a recorder.
    4. Sub-committees shall have the power to co-opt additional persons as and when required.

  6. Annual General meetings (AGM)
    1. The Annual General Meeting of the Club shall be held in each year at such time and place as the President or the Executive Committee shall appoint.
    2. The Secretary shall give not less than 14 days’ notice in writing of the AGM to all Members of the Club stating the date, time and place of such meeting.
    3. Notice shall be deemed given either by e-mail, Newsletter or Facebook.
    4. At the AGM the ordinary members shall elect an Executive Committee including a President, Vice President, Secretary and Treasurer and any other officer as the Committee decide necessary
    5. The President, Vice, President, Secretary, Treasurer and any other officers of the committee shall hold office until the conclusion of the AGM

  7. Rules of Procedure
    1. A minimum of three members shall form a quorum at Committee meetings and a minimum of five members shall form a quorum at AGM
    2. Every matter, except where this constitution provides otherwise, shall be determined by a majority of members present and voting. In the case of equal votes the President of the meeting shall have the casting vote.
    3. Minutes of all meetings including sub-committees shall be kept and formally adopted.

  8. Finance
    1. The financial year shall run from September - August in the following year
    2. The Treasurer shall keep proper accounts of the finances of the committee. All monies raised by or on behalf of the Club shall be applied to further the object of the Club and for no other purpose. All deeds cheques, bills of exchange, etc, relating to the committees bank account shall be signed by the Treasurer and President jointly or in the President’s absence the Treasurer together with one of the Executive Committee.
    3. The President, Vice President and the Treasurer shall have access to all bank and financial information.

  9. Alterations to the constitution
    1. Any alterations to this constitution shall receive the assent of no less than two-thirds of the members present and voting at an AGM or special meeting. Provided that the secretary has received such notice of any alteration in writing no less than 21 clear days before the meeting at which the alteration is proposed. Any alteration first being approved by the Executive committee

  10. Dissolution
    1. The Club may be dissolved by a resolution passed by a majority of members present and voting at a special meeting convened for the purpose.
    2. Any assets remaining after the settling of any debts and liabilities shall be applied towards charitable bodies, which have similar aims to those of the committee. Such charitable bodies to be decided and approved by the aforesaid majority.
